Welcome to FY Bedding. By accessing or using our website and services, you agree to be bound by these Terms of Service. Please read them carefully before placing an order or using our services.
1. Acceptance of Terms
By accessing this website or placing an order, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, please do not use our website or services.
2. Eligibility
Our B2B services are intended for business customers. By registering for a dealer account or placing a wholesale order, you represent that you are authorized to act on behalf of your business entity and that the information you provide is accurate and complete.
3. Orders and Pricing
All prices are quoted in US Dollars unless otherwise stated. Prices are subject to change without notice, but changes will not affect orders already confirmed. We reserve the right to refuse or cancel any order at our discretion. Minimum order quantities apply to wholesale and OEM orders as specified in your quotation.
4. Payment Terms
Standard payment terms are 30% deposit with order confirmation and 70% balance before shipment, unless alternative terms have been agreed in writing. Accepted payment methods include wire transfer (T/T), Letter of Credit (L/C) for qualifying orders, and selected online payment platforms.
5. Shipping and Delivery
Shipping terms (FOB, CIF, DDP) are specified in your order confirmation. Delivery dates are estimates based on production schedules and shipping availability. FY Bedding is not liable for delays caused by customs clearance, carrier issues, or force majeure events. Risk of loss transfers according to the agreed Incoterms.
6. Product Specifications
We make every effort to display product colors and specifications accurately. However, slight variations in color, size, and finish are inherent in textile manufacturing and do not constitute defects. All specifications are subject to reasonable manufacturing tolerances.
7. Quality and Returns
Our products undergo rigorous quality control before shipment. Claims for defects or non-conformity must be submitted in writing within 14 days of receipt, supported by photographic evidence. Approved returns are processed as replacement, credit, or refund at our discretion.
8. Intellectual Property
All content on this website, including text, images, logos, and product designs, is the property of FY Bedding or its licensors. Custom designs developed under OEM agreements remain the intellectual property of the client, while manufacturing techniques and processes remain proprietary to FY Bedding.
9. Limitation of Liability
To the fullest extent permitted by law, FY Bedding shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our products or services. Our total liability for any claim shall not exceed the purchase price of the specific products giving rise to the claim.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Shanghai, China.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this website. Continued use of our services after changes constitutes acceptance of the modified Terms.
